Wholesale Terms & Conditions

Effective June 2026

These Terms and Conditions govern the wholesale supply of Peachly products by JPKL International Pty Ltd (ABN 66 624 660 797) trading as Peachly (“Peachly”, “we”, “us”) to approved wholesale accounts (“Retailer”, “you”). By submitting a wholesale application or placing a wholesale order with Peachly, you agree to be bound by these terms.

1. Account Eligibility & Application

Wholesale accounts are available to registered businesses in Australia and selected international markets as approved by Peachly. Peachly reserves the right to approve or decline any wholesale application at its sole discretion without providing reasons.

To be considered for a wholesale account, applicants must provide:

  • Business name and registered business number (ABN or equivalent)
  • Store name, physical address, and/or website URL
  • Contact name and email address
  • Brief description of your store and customer base

Peachly may request additional information during the application process. Approval of an application does not guarantee ongoing access to wholesale pricing and Peachly may suspend or terminate an account at any time in accordance with clause 9.


2. Orders & Minimum Order Quantity

All wholesale orders must be placed through the ordering process as directed by Peachly. The available product range and current pricing are set out in the Peachly Wholesale Price Guide and Catalogue, provided to approved retailers at the time of account approval.

The minimum order quantity (MOQ) is one (1) carton per SKU. Each carton contains 12 units of a single SKU. Orders must be placed in whole carton increments only.

Volume discounts are available per order as set out in the current Peachly Wholesale Price Guide. Discounts are calculated on the total number of cartons per order across any combination of SKUs.

Peachly reserves the right to decline or cancel any order at its discretion. In the event an order is cancelled by Peachly after payment has been received, a full refund will be issued within 5 business days.


3. Pricing & Payment

All wholesale pricing is in Australian Dollars (AUD) as set out in the current Peachly Wholesale Price Guide. 

All wholesale pricing is quoted in Australian Dollars (AUD). For international orders, Peachly may agree to invoice in AUD, USD, GBP, or CAD. The agreed invoicing currency will be confirmed at the time of order. Any costs associated with currency conversion or international transfers are the Retailer's responsibility.

Full payment is required prior to dispatch. No credit terms are available under any circumstances. Accepted payment methods will be specified on your invoice, and may include bank transfer, credit card, and PayPal.

GST will be applied to orders from Australian businesses in accordance with Australian tax law. International orders are GST-exempt.


4. Shipping & Delivery

All shipping costs are the responsibility of the Retailer. Prior to dispatch, Peachly will notify the Retailer of available shipping methods, estimated costs, and agreed timelines. Shipping charges will be confirmed before the order is finalised.

Peachly will endeavour to dispatch orders within 2-4 business days of payment confirmation, subject to stock availability. Peachly will notify the Retailer promptly if any items are unavailable or if dispatch will be delayed.

For international orders, all import duties, customs fees, and taxes are the sole responsibility of the Retailer. Peachly is not responsible for delays caused by customs or third-party carriers.

Risk of loss or damage passes to the Retailer upon dispatch from our fulfilment centre. Peachly recommends that Retailers inspect all deliveries upon receipt and note any visible damage with the carrier before signing.


5. Returns & Damaged Goods

All sales are final. Peachly does not accept returns for change of mind or overstocking.

Claims for damaged or defective goods must be submitted in writing to wholesale@peachly.com.au within 7 days of delivery. Claims must include:

  • Your invoice number
  • A description of the damage or defect
  • Photographic evidence of the damaged or defective goods and original packaging

Peachly will assess each claim and, at its discretion, offer a replacement, credit, or refund for goods confirmed as damaged or defective. Peachly is not liable for damage caused during transit where the carrier has been engaged by or on behalf of the Retailer.


6. Retail Pricing Policy

Retailers must not publicly advertise Peachly products below the current Recommended Retail Price (RRP) as set out in the Peachly Wholesale Price Guide.

RRP applies to all publicly visible online pricing and advertising, including but not limited to:

  • Website product listings and category pages
  • Google Shopping and other paid advertising
  • Social media posts, ads, and stories

The following are exempt from this policy:

  • Private discount codes distributed directly to a Retailer's existing customer base (provided the discounted price is not publicly listed online)
  • In-store promotions and ticketing

Peachly reserves the right to update the RRP from time to time. Retailers will be given at least 14 days written notice of any RRP change.


7. Approved Sales Channels

Peachly products may be sold through the following channels:

  • The Retailer's physical brick-and-mortar store(s)
  • The Retailer's own branded website

The following channels are strictly prohibited without exception:

  • Amazon (AU, US, UK, CA)
  • Etsy
  • eBay
  • Wholesale or B2B resale to other businesses

Retailers wishing to sell Peachly products through any channel not listed above may submit a written request to wholesale@peachly.com.au. Peachly will review all requests on a case-by-case basis and approval is at Peachly's sole discretion.

Retailers found to be selling Peachly products through prohibited channels will be subject to immediate account termination in accordance with clause 9.


8. Brand & Marketing Guidelines

Retailers are permitted to market and promote Peachly products through their approved sales channels, subject to the following conditions:

  • Retailers may use their own original photography or imagery available at peachly.com.au
  • Product names must not be altered or abbreviated in any way that could mislead customers
  • Product descriptions must not be materially altered or contain claims not supported by Peachly
  • Peachly branding must not be used in a manner that implies a formal partnership, endorsement, or affiliation beyond that of a wholesale customer

Peachly reserves the right to request the removal or amendment of any content it deems inconsistent with brand guidelines. Retailers agree to comply with such requests within 5 business days.


9. Account Term & Termination

Wholesale accounts are ongoing and have no fixed expiry date unless otherwise agreed in writing.

Either party may terminate the wholesale relationship by providing 30 days written notice to the other party. Notice must be sent by email.

Peachly may terminate a wholesale account immediately and without notice in the event of:

  • Any breach of the retail pricing policy (clause 6)
  • Sale through a prohibited channel (clause 7)
  • Material breach of any other provision of these Terms
  • Insolvency, bankruptcy, or cessation of trading by the Retailer
  • Any conduct that Peachly reasonably considers damaging to its brand or reputation

Upon termination, any outstanding orders that have been paid and dispatched will be fulfilled. No further orders will be accepted after notice of termination has been given or received.


10. Exclusivity

These Terms do not confer any geographic or category exclusivity on the Retailer. Peachly may supply its products to any number of retailers in any location unless a separate written exclusivity agreement has been entered into between Peachly and the Retailer.


11. General

Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Queensland, regardless of the Retailer's location.

Entire Agreement

These Terms constitute the entire agreement between Peachly and the Retailer with respect to wholesale supply and supersede all prior discussions, representations, and agreements.

Amendments

Peachly reserves the right to amend these Terms at any time. Retailers will be notified of material changes by email with at least 14 days notice. Continued ordering after the notice period constitutes acceptance of the amended terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Failure by Peachly to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
